Terms and Conditions for International Delivery of METALLCAST Products (Incoterms 2020)

 

1. General Provisions

1.1. International delivery of METALLCAST products is carried out in accordance with the Incoterms 2020 rules of the International Chamber of Commerce (ICC).

1.2. Specific delivery terms, the place of transfer of goods, the currency of payment, delivery times, and the method of transportation are agreed upon by the parties in the contract, invoice, or specification.

1.3. Unless otherwise agreed in writing, delivery terms are determined separately for each order.

2. Basic Delivery Terms

EXW (Ex Works)

2.1. The Supplier delivers the goods to the Buyer at METALLCAST’s warehouse or production facility.

2.2. The Buyer independently arranges:

• loading;

• export clearance;

• international transportation;

• insurance;

• import customs clearance.

2.3. Risks pass to the Buyer upon delivery of the goods to the Buyer.

FCA (Free Carrier)

2.4. The Supplier delivers the goods to the carrier designated by the Buyer at the agreed place of shipment.

2.5. The Supplier handles the export customs clearance of the goods.

2.6. Risks pass to the Buyer upon delivery of the goods to the carrier.

CPT (Carriage Paid To)

2.7. The Supplier arranges and pays for transportation to the agreed destination.

2.8. Risks pass to the Buyer upon delivery of the goods to the first carrier.

2.9. The Buyer shall pay for import customs clearance and customs duties in the country of destination.

CIP (Carriage and Insurance Paid To)

3. Terms of Transportation

3.1. Delivery may be carried out:

• by road;

• by sea;

• by air;

• by rail;

• by multimodal transport.

3.2. The mode of transport is determined based on:

• the country of destination;

• the characteristics of the cargo;

• delivery deadlines;

• the agreed Incoterms.

4. Packaging and Marking

4.1. METALLCAST products are supplied in standard export packaging suitable for international transport.

4.2. Cargo marking is carried out in accordance with international transport requirements and the terms of the contract.

5. Delivery Terms

5.1. Production and international delivery times are agreed upon separately for each order.

5.2. Delivery times may change in the event of:

• delays in customs clearance;

• force majeure;

• delays by carriers or ports;

• changes in the Buyer’s requirements.

6. Acceptance of Goods

6.1. The Buyer is obligated to inspect the goods upon receipt.

6.2. In the event of damage to the shipment, claims must be noted in the shipping documents at the time of acceptance.

6.3. Signing the shipping and accompanying documents confirms the delivery of the goods.

7. Force Majeure

7.1. The parties are exempt from liability for failure to perform their obligations in the event of force majeure, including:

• military actions;

• sanctions;

• blockades of borders or ports;

• actions by government authorities;

• emergencies.

8. Final Provisions

8.1. All disputes shall be resolved through negotiations between the parties.

8.2. In the event that an agreement cannot be reached, disputes shall be resolved in accordance with the terms of the foreign trade contract and applicable law.

8.3. In matters not covered by these terms, the parties shall be guided by the Incoterms 2020 rules and applicable international law.
